TERMS OF SERVICE
These Terms of Use (“Terms”) constitute a legally binding agreement between you (“you,” “your,” or “User”) and Sattva Roots LLC, a New York limited liability company (“Company,” “we,” “us,” or “our”), governing your access to and use of our websites, platforms, content, programs, services, and offerings (collectively, the “Services”).
Sattva Roots LLC operates under the following assumed names (DBAs):
- Sattva AyurYoga
- Padmanabha Dance Center
- Happy Blog
By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Services.
1. Eligibility
You must be at least eighteen (18) years of age to use the Services. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.
2. Nature of Services; Educational Use Only
The Services provided by the Company are educational, instructional, and informational in nature and may include, without limitation, yoga instruction, movement practices, dance education, wellness education, written and recorded content, digital courses, subscriptions, and appointment-based services.
The Company is not a medical provider, healthcare provider, therapist, or mental health professional. Nothing provided through the Services constitutes medical, psychological, diagnostic, or therapeutic advice.
Participation in physical or movement-based activities is voluntary and undertaken at your own risk.
3. User Accounts
Certain Services require account creation. You agree to provide accurate, current, and complete information and to maintain the confidentiality of your login credentials.
You are solely responsible for all activity occurring under your account. We reserve the right to suspend or terminate accounts that violate these Terms or applicable law.
4. Payments, Subscriptions, and Billing
Payments:
All payments are processed through third-party payment processors. The Company does not store or process payment card information.
Subscriptions (Non-Refundable):
All subscription fees are non-refundable, including but not limited to unused time, partial periods, missed sessions, or lack of participation. You may cancel a subscription at any time; however, cancellation will take effect at the end of the current billing period.
No prorated refunds will be issued except where required by law.
5. Appointments, Cancellations, and Late Fees
Appointment-based Services are subject to the following policies:
- Appointments must be canceled or rescheduled at least twenty-four (24) hours prior to the scheduled start time.
- Cancellations made with less than 24 hours’ notice, or failure to attend a scheduled appointment, may result in:
- forfeiture of the session, and/or
- an additional late cancellation fee of $20, at the Company’s discretion.
These policies are necessary to respect scheduling commitments and operational costs.
6. Intellectual Property Rights
All content, materials, videos, audio recordings, text, graphics, logos, trademarks, course materials, and proprietary systems provided through the Services are owned exclusively by Sattva Roots LLC or its licensors and are protected under U.S. and international intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, non-commercial purposes only.
Unauthorized reproduction, distribution, sharing, resale, or exploitation of any content is strictly prohibited.
7. User Conduct
You agree not to:
- Use the Services for unlawful or unauthorized purposes
- Share login credentials or paid content
- Interfere with or disrupt the Services or servers
- Attempt to access restricted systems or data
- Upload or transmit harmful, defamatory, or infringing material
We reserve the right to restrict access or remove content at our sole discretion.
8. Affiliate Links and Third-Party Services
The Services may contain affiliate links or references to third-party products or services. The Company may earn commissions from qualifying purchases.
We are not responsible for third-party websites, products, services, or practices. Your use of third-party services is governed by their respective terms and policies.
9. Assumption of Risk
By participating in any physical, movement-based, or instructional Services, you acknowledge that such activities involve inherent risks, including but not limited to physical strain or injury. You voluntarily assume all risks associated with participation.
10. Disclaimers
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT GUARANTEE ANY PARTICULAR RESULT FROM USE OF THE SERVICES.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES.
THE COMPANY’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO THE COMPANY IN THE SIX (6) MONTHS PRECEDING THE CLAIM.
12. Indemnification
You agree to indemnify, defend, and hold harmless the Company and its members, managers, employees, contractors, and affiliates from any claims, losses, liabilities, damages, or expenses arising from your use of the Services or violation of these Terms.
13. Dispute Resolution; Binding Arbitration
Any dispute arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith informal negotiations.
If unresolved, disputes shall be resolved by binding arbitration administered by the American Arbitration Association in the State of New York. The arbitrator’s decision shall be final and binding.
YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR JURY TRIAL.
14. Governing Law and Venue
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.
15. Force Majeure
The Company shall not be liable for delays or failures resulting from causes beyond its reasonable control, including acts of God, pandemics, government actions, internet outages, or labor disruptions.
16. Severability; Assignment; Entire Agreement
If any provision of these Terms is held invalid, the remaining provisions shall remain in full force and effect.
You may not assign these Terms without prior written consent. The Company may assign these Terms freely.
These Terms constitute the entire agreement between you and the Company regarding the Services.
